These Terms & Conditions ("Terms") govern access to and use of the website simatech.bg and the professional services provided by Sima Tech Ltd (Сима Тек ООД), a company registered in Bulgaria under UIC 206762842, VAT BG206762842, with registered office in Pernik, Bulgaria ("Simatech", "we", "us").
By accessing the website or engaging our services you agree to these Terms. If you do not agree, please do not use the website or services.
1. Nature of the website
The website is informational. It does not in itself constitute an offer within the meaning of Art. 290 of the Bulgarian Commercial Act, nor a binding offer to provide services. Specific service engagements are governed by a separate written agreement (Master Services Agreement, Statement of Work and, where applicable, Data Processing Agreement).
2. Services
Simatech provides nearshore agile delivery services, including: embedded Scrum teams, AI and GenAI engineering, Scaled Agile (SAFe) consulting, platform engineering, training, and operation of the scrumjobs.net talent marketplace. Service scope, deliverables, commercials and acceptance criteria are defined per engagement.
3. Consumer information (where applicable)
Simatech contracts primarily with businesses (B2B). Where a service is purchased by a consumer within the meaning of the EU Consumer Rights Directive 2011/83/EU and the Bulgarian Consumer Protection Act, the consumer has the right to withdraw from a distance contract within 14 days without giving any reason, unless the service has been fully performed with the consumer's prior express consent and acknowledgment that the right of withdrawal will be lost.
Withdrawal can be exercised by an unambiguous statement sent to hello@simatech.bg.
4. Intellectual property
All content on the website — including text, graphics, logos, images, the Simatech mark, the Sima Tech word mark and the Сима Тек ООД name — is owned by Simatech or licensed to it and is protected by EU and Bulgarian intellectual property law. You may view and print pages for personal, non-commercial reference only. Any other use requires prior written consent.
IP rights in deliverables produced under a paid engagement are governed by the relevant signed agreement.
5. Acceptable use
You agree not to:
- use the website in any way that breaches applicable EU or national law;
- attempt to gain unauthorised access to the website or its underlying systems;
- introduce malware, viruses or any harmful code;
- scrape, harvest or otherwise extract data at scale without our written consent.
6. Disclaimer and liability
The website is provided "as is" and "as available". To the maximum extent permitted by applicable law, Simatech excludes implied warranties of merchantability, fitness for a particular purpose and non-infringement in relation to the website content.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Bulgarian or EU law, including liability for death or personal injury caused by negligence, for fraud, or consumer-protection rights you have as a consumer.
Subject to the above, Simatech's aggregate liability arising out of or in connection with the website is limited to EUR 100. Liability under a paid services agreement is set out in that agreement.
7. Privacy and cookies
Our processing of personal data is described in the Privacy Policy. The use of cookies is described in the Cookie Policy.
8. Dispute resolution and governing law
These Terms are governed by the laws of the Republic of Bulgaria. The competent courts in Pernik / Sofia, Bulgaria, have exclusive jurisdiction over any dispute, without prejudice to mandatory consumer-protection rules of the EU member state where a consumer resides.
Consumers may also use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

We may update these Terms from time to time. The current version is always available at this URL with the "Last updated" date shown above.
